What NewKey is

NewKey is a tool for transposing music into a different key, operated by Erik Hughes Web Development, LLC. By creating an account or using the service you agree to these terms. If you do not agree, do not use the service.

Your account

You are responsible for keeping your password secure and for everything done through your account. Give us accurate information when you register, and tell us promptly if you believe your account has been used without your permission. One person per account.

Your content

You keep ownership of the charts you upload and of the transposed versions we produce from them. You grant us only the permission needed to do the work you asked for: to receive your file, read it, produce a transposed copy, and make that copy available to you for a short time. We do not keep your original, we do not back it up, and we do not use anything you upload to train models.

You confirm that you have the right to use, digitize and modify any music you bring in. Transposition is a modification, and it produces an arrangement derived from the original, so permission to own or to play a chart is not by itself permission to have it transposed here. Do not upload material you do not own or have permission to modify, and do not use NewKey to infringe anyone's copyright. We may remove content and suspend accounts in response to a credible infringement complaint.

Credits and payment

NewKey is sold as credits, bought in packs rather than by subscription. Prices are shown before you pay, and payment is handled by Stripe.

  • Credits are added to your balance once Stripe confirms the payment.
  • Credits do not expire.
  • Credits have no cash value, are not transferable between accounts, and cannot be exchanged for money.
  • Purchases are final. If something goes wrong, such as being charged twice or credits not arriving, contact us and we will put it right.
  • Unused credits are lost if you close your account, so spend them first if you intend to leave.

We may change prices, and any change applies to purchases made after it takes effect, never retroactively to credits you already hold.

Acceptable use

Do not attempt to break, overload, or gain unauthorised access to the service or to other people's accounts, scrape it in bulk, resell access to it, or use it to store unlawful material.

Availability

We aim to keep NewKey running but do not promise uninterrupted service. We may change, suspend or discontinue features, and we will give reasonable notice before a change that would make credits you already hold materially less useful.

Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that a transposition will be correct or suitable for your purpose; check the output before you rely on it in performance.

Limitation of liability

To the fullest extent permitted by law, Erik Hughes Web Development, LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of the service is limited to the amount you paid us in the twelve months before the claim.

Termination

You may stop using NewKey and delete your account at any time, from Settings. Doing so removes your account details and your transposition history, and any transposed PDF still held is deleted with them. We keep the record of credits bought and spent, with nothing identifying attached to it, because tax and accounting rules require it. Unused credits are lost, as above.

We may suspend or close an account that breaches these terms, or where we are required to by law. Sections that by their nature should survive termination, such as the limitation of liability, do.

Changes to these terms

We may update these terms. When we do we will change the date at the top of this page, and material changes will be notified by email or in the app. Continuing to use the service after a change means you accept it.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of law rules, and the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute.
